Welcome to WUPEX FZCO (“WUPEX,” “we,” “us,” or “our”).
These Terms and Conditions (“Terms”) govern your use of our services, including the distribution of gift cards/gift codes/vouchers and related products, as a business-to-business (B2B) client. By accessing or using our services, you agree to comply with and be bound by these Terms.
WUPEX FZCO is a company registered under the laws of the United Arab Emirates (UAE), with its principal place of business at Dubai United Arab Emirates. Our services are exclusively for B2B gift card/gift code/voucher distribution and are not intended for individual consumers.
- DEFINITIONS
- “Client” refers to the business entity or organization purchasing or distributing gift cards/gift codes/vouchers through WUPEX.
- “Gift Cards/Gift Codes/Vouchers” refers to electronic or physical gift cards, gift codes, or vouchers distributed by WUPEX.
- “Services” refers to the B2B gift card/gift code/voucher distribution services provided by WUPEX.
- “Platform” refers to WUPEX’s online portal or system used for ordering, managing, and distributing gift cards/gift codes/vouchers.
2. ELIGIBILITY
- To use our services, you must:
- Be a legally registered business entity.
- Provide accurate and complete information during registration.
- Comply with all applicable laws and regulations in the UAE and other jurisdictions where you operate.
- WUPEX reserves the right to refuse service to any business that does not meet our eligibility criteria or violates these Terms.
3. ACCOUNT REGISTRATION AND US
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You must notify WUPEX immediately of any unauthorized use of your account or any other security breach.
- WUPEX reserves the right to suspend or terminate your account if we suspect fraudulent or unauthorized activity.
4. GIFT CARD/GIFT CODE/VOUCHER DISTRIBUTION
- WUPEX provides gift cards/gift codes/vouchers for distribution to your customers or end-users.
- You are responsible for ensuring that gift cards/gift codes/vouchers are used in compliance with applicable laws and regulations.
- WUPEX is not liable for any misuse, loss, or theft of gift cards/gift codes/vouchers after they have been delivered to you.
5. PAYMENT TERMS
- Payment for gift cards/gift codes/vouchers must be made in advance unless otherwise agreed in writing.
- Late payments may result in suspension of services or additional fees.
- All payments must be made in the currency specified by WUPEX.

6. REFUNDS AND CANCELLATIONS
- All sales of gift cards/gift codes/vouchers are final unless otherwise agreed in writing.
- Refunds or cancellations are subject to WUPEX’s sole discretion and may incur administrative fees.
7. INTELLECTUAL PROPERTY
- All intellectual property rights related to WUPEX’s services, including trademarks, logos, and software, are owned by WUPEX.
- You may not use, copy, or reproduce any of WUPEX’s intellectual property without prior written consent.
8. LIMITATION OF LIABILITY
- WUPEX shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
- Our total liability to you for any claim shall not exceed the total amount paid by you for the specific service in question.
9. GOVERNING LAW AND DISPUTE RESOLUTION
- These Terms are governed by the laws of the United Arab Emirates.
- Any disputes arising from these Terms shall be resolved through amicable negotiations.
- If no resolution is reached, disputes shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.
10. AMENDMENTS
- WUPEX reserves the right to modify these Terms at any time. Any changes will be effective upon posting on our website or notifying you directly. Continued use of our services after such changes constitutes your acceptance of the revised Terms.
11. TERMINATION
- WUPEX may terminate or suspend your access to our services at any time, with or without cause, and without prior notice. Upon termination, you must cease all use of our services and return any confidential information or materials provided by WUPEX.
